Terms of Service

These Terms of Service consist of the Key Terms below, which incorporate by reference the Common Paper Cloud Service Agreement Standard Terms, Version 2.1 (the “Standard Terms”). Capitalized terms have the meanings given in the Standard Terms. Where the Key Terms and the Standard Terms conflict, the Key Terms control.
Key Terms
- Provider. CueFrame Inc.
- Customer. The individual or entity that accepts these terms or uses the Cloud Service.
- Cloud Service.CueFrame’s API for composing and rendering video, accessed over REST and MCP, currently offered in private beta.
- Subscription Period. Month-to-month, continuing until cancelled, unless a separate Order Form states otherwise.
- Fees & Payment. Usage-based, plus any plan fees, billed through our payment processor and auto-charged to your payment method.
- Non-Renewal Notice. 30 days before the end of a Subscription Period.
- General Cap Amount.1× the Fees paid or payable by Customer in the 12 months before the claim.
- Governing Law & Courts. These terms are governed by the laws of the State of Delaware, U.S.A., excluding its conflict-of-laws rules; the state and federal courts located in Delaware have exclusive jurisdiction.
Your content & ownership
You retain all right, title, and interest in the media and compositions you bring to CueFrame (“Customer Content”) and in the video we render for you. Under the Standard Terms, we may copy, display, modify, and use Customer Content only as needed to provide and maintain the Cloud Service.
Use of data for AI / machine learning
The Standard Terms’ default permits Usage Data and Customer Content to be used to develop or improve machine-learning models when aggregated and de-identified. CueFrame does not use Customer Content to train generative models.
Acceptable use
In addition to the restrictions in the Standard Terms (no reverse engineering, reselling, removing notices, security testing without permission, building a competing service, or High-Risk Activities), you agree not to use the Cloud Service to create, process, or distribute content that is illegal, infringing, or abusive, or that you lack the rights to use.
Beta
During private beta the Cloud Service is provided “as is.”Features may be added, changed, or removed, and we don’t guarantee uptime or that output will be error-free. The warranty, disclaimer, liability, indemnification, and termination provisions in the Standard Terms apply.
Changes
We may update these terms; material changes will be noticed and the “last updated” date revised.
